Marvell's agreement with Google produced a headline large enough to resemble a takeover: a warrant covering shares that would cost about $12.2 billion to buy at the stated exercise price. Yet the filed agreement does not say Google has invested that sum, ordered that amount of chips or promised Marvell a fixed revenue stream. It gives Google the right to buy shares, and makes most of that right conditional on future purchases.
That distinction changes the investment question. The warrant is neither free dilution today nor a guaranteed sales backlog. It is a customer incentive whose economic effect unfolds only if Marvell wins qualifying business around Google's TPU ecosystem. Shareholders therefore need to follow two ledgers together: custom-product revenue and the number of warrant shares that vest.
The $12.2 billion figure is an exercise bill
Marvell disclosed 58,970,907 warrant shares with an exercise price of $206.58. Multiplying those figures produces roughly $12.18 billion, the number emphasized in Reuters' account. That is the cash Google would pay if every share vested and it exercised the entire warrant at the unchanged price. It is not cash Marvell received when the warrant was issued.
Exercise is rational only when a vested share is worth more than the strike price, after considering restrictions and opportunity cost. If Marvell's market price remains below $206.58, an exercisable warrant can still expire unused. If it rises above the strike, Marvell receives exercise proceeds but existing owners absorb a larger share count. The headline value therefore describes a maximum transaction at one contractual price, not the present value of the commercial agreement.
Two vesting clocks create very different signals
Only 1,360,867 shares vest in equal quarterly installments during the first year. The other 57.6 million are performance shares. According to the 8-K, they vest in 240 equal tranches, one for every $500 million of qualifying Custom Products revenue from Google's purchases between Marvell's third quarter of fiscal 2027 and the end of fiscal 2033. Across all tranches, that implies $120 billion of cumulative eligible revenue before the full performance portion could vest. That total is arithmetic from the filing, not a disclosed purchase commitment.
This structure puts the commercial event before most dilution. A tranche vests because revenue has been recorded; the vested warrant can then be exercised. It also prevents investors from treating $120 billion as backlog. The filing does not describe minimum volumes, guaranteed margins or penalties if Google buys less. Purchase discretion remains central.
For scale, Marvell reported $8.19 billion of total revenue for fiscal 2026 in its annual filing. The maximum qualifying revenue is therefore enormous beside the company's current base and spread across several years. Partial vesting is a more useful scenario than assuming either zero or the full amount.
The TPU ecosystem is the strategic prize
The eligible products extend beyond one accelerator. Marvell says the partnership covers AI inference accelerators, storage and network interface controllers, memory interface controllers and near-memory compute attached to Google's TPU ecosystem. That breadth matters because custom silicon is rarely a single chip sale. Compute, memory movement, networking and storage must operate as a system, allowing a supplier with several design wins to capture more content per deployment.
Marvell is already heavily exposed to this market. Data centers generated $6.10 billion, or 74% of fiscal 2026 revenue, up from 40% two years earlier. The opportunity is to turn a large cloud customer's internal architecture into recurring demand across multiple components. The counterpoint is bargaining power: a customer capable of generating enough purchases to vest a large warrant can negotiate aggressively, redesign components or shift volume. Marvell's quarterly filing warns that revenue from custom products depends on the success of the customer's own products.
Revenue quality must outrun concentration
The warrant can align incentives, but it does not diversify Marvell automatically. The company disclosed that its ten largest customers supplied 82% of fiscal 2026 revenue, while two customers individually exceeded 10%. It did not identify Google as either of those customers. If Google grows into a larger account, absolute revenue may rise while dependence on a few purchasing decisions rises with it.
Potential dilution also belongs in the valuation. The maximum 58.97 million shares equal about 6.7% of the 875.6 million common shares Marvell reported outstanding at May 2, before allowing for subsequent changes or other convertible securities. That comparison is a scale marker, not a forecast: performance vesting, exercise economics and the future share count can all reduce or alter the outcome.
The evidence that would improve the thesis is not another headline option value. It is disclosed Google-related revenue, gross-margin performance as custom programmes ramp, the pace of performance tranches vesting and evidence that other customers are expanding too. Weak margins, slower purchases or increasing customer concentration would make the warrant look expensive even with higher revenue. Strong incremental margins and a broader design-win base would show that the incentive purchased a durable position rather than one powerful customer's volume.
